You are responsible for the legality, accuracy, and integrity of data, documents, prompts, instructions, or other materials you submit to the services. You represent that you have all rights, permissions, and lawful bases required to provide such materials and to authorize Payraydoo to process them in connection with the services.

7. Outputs, Automations, and Business Decisions

The services may generate outputs, recommendations, workflow actions, classifications, summaries, or other automated results. You are responsible for reviewing outputs and determining whether they are appropriate for your use case. Payraydoo does not provide legal, accounting, tax, or other regulated professional advice through these services, and automated outputs should not be treated as a substitute for human review where such review is required.

As between the parties, Payraydoo and its licensors retain all rights, title, and interest in and to the services, including software, interfaces, documentation, trademarks, branding, designs, and related intellectual property. Except for limited rights expressly granted under these terms or a separate written agreement, no rights are transferred to you.

9. Feedback

If you provide suggestions, ideas, enhancement requests, or other feedback relating to the services, Payraydoo may use that feedback without restriction or compensation, provided such use does not identify you as the source unless we separately agree otherwise.

10. Third-Party Services and Links

The services may reference, interoperate with, or link to third-party tools, websites, videos, APIs, or integrations. Payraydoo is not responsible for third-party services and does not guarantee their availability, performance, or terms. Your use of third-party services is governed by the terms and privacy practices of those third parties.

11. Fees and Commercial Terms

If you purchase services from Payraydoo, pricing, billing, payment timing, taxes, renewal terms, and commercial commitments will be governed by the applicable order form, statement of work, subscription agreement, or other written commercial document. In the event of a conflict, that commercial document will control over these general website terms for the purchased services.

12. Confidentiality

Each party may receive confidential information from the other in connection with evaluations, demos, onboarding, implementation, or commercial discussions. The receiving party will protect the disclosing party's confidential information using reasonable care and will use it only for permitted business purposes, except where disclosure is required by law or the information is independently developed or publicly available without breach.

13. Disclaimers

To the fullest extent permitted by law, the services are provided on an "as is" and "as available" basis unless expressly stated otherwise in a written agreement. Payraydoo disclaims implied warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the services will be uninterrupted, error-free, or suitable for every intended use case.

14. Limitation of Liability

To the fullest extent permitted by law, Payraydoo will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, business interruption, or data loss arising out of or related to the services. Any direct damages will be limited to the amounts paid to Payraydoo for the relevant services during the twelve months preceding the event giving rise to the claim, unless a different limitation is stated in an applicable written agreement.

15. Indemnity

You agree to defend, indemnify, and hold harmless Payraydoo and its affiliates, officers, directors, employees, and agents from claims, losses, liabilities, damages, and expenses arising from your misuse of the services, your violation of these terms, your submitted content or data, or your violation of applicable law or third-party rights.

16. Suspension and Termination

Payraydoo may suspend or limit access to the services if reasonably necessary to address security risks, suspected abuse, legal exposure, non-payment, or violations of these terms. Either party may also terminate use of services as permitted under an applicable agreement. Upon termination, rights of access may end immediately, though provisions that by their nature should survive termination will remain in effect.

17. Governing Law

Unless otherwise specified in a signed agreement, these terms are governed by the laws identified by the applicable contracting entity and jurisdictional provisions in the relevant commercial arrangement. If no separate agreement applies, disputes will be resolved in a competent forum selected by Payraydoo that has a reasonable connection to the services or the contracting entity.
